Responsibilities
- Coordinate daily incoming contract requests, assign contracts for review to attorneys where necessary, track matters, and coordinate signature process within company’s DocuSign Contract Lifecycle Management system, primarily for AMH Services.
- Structuring, drafting, reviewing, negotiating, and providing advice with regard to a wide range of commercial agreements in support of AMH Services. Contracts include, but are not limited to customer agreements, vendor agreements, professional services agreements, and non-disclosure agreements. Knowledge in SaaS and other software agreements is preferred but not required.
- Identifying legal issues, providing analysis of legal risks, creating, and implementing solutions structured to meet new business objectives flexibly and efficiently, while enhancing legal protections and sustainability initiatives.
- Support stakeholder business needs and respond to inquiries regarding contract obligations and revisions and other general legal matters.
- Perform other transactional, legal and regulatory duties as needed, including supporting
the organization’s mergers and acquisitions goals and objectives.
- Building and managing relationships with key stakeholders within the organization in operations, sales and purchasing functions, as well as leadership.
- Assist with developing and improving processes, playbooks, knowledge management and automation across all contract life cycles.
- Assist with developing and creating form agreements.
- Identify contract initiation, review, and execution and maintenance process improvements.
- Advising on legal risks, and the legal liabilities associated with different transactions.
- Researching legal issues that could impact the company.
- Assist in providing training to the company on legal topics.
- Assist in developing internal legal programs.
- Assist in regulatory affairs and compliance.
- Maintain contract database and legal department files.
- Organize and communicate new and/or modified contract terms and processes to all affected internal teams (i.e., operations, sales, finance, etc.) for their incorporation into and/or adaptation.
- Provide guidance to stakeholders in connection with contract generation.
- Ensure our internal contract documents are accurate and well maintained.
- Communicate information to stakeholders about contract-related matters.
- Monitor contracts and move forward with close-out, extension, or renewal.
- Collaborate with a legal team consisting of lawyers and legal operations staff, including those in India, UK, and US.
- Ensure contract compliance following our procedures.
- Other duties and responsibilities as assigned.
Qualifications
- LLB or LLM graduates.
- Licensed to practice law.
- The ability to work independently and with minimal supervision on multiple projects at one time.
- Expertise in contract drafting and negotiations especially with vendor and customer contracts without following a playbook.
- Team player with common sense, a good sense of humor and a desire to learn.
- Legal knowledge and ability to assist in examination, review, evaluation and/or preparation of legal documents relating to the business of the corporation.
