Job Requirement
Knowledge of general corporate laws, including, Companies Act, 2013, Foreign Exchange Management Act, 1999, Competition Act, 2002, Indian Contracts Act, 1872, Societies Act, FCRA, etc
Knowledge of laws including Securities Exchange Board of India (SEBI) laws, Reserve Bank of India (RBI) regulations,
Good drafting skills and ability to independently formulate opinions.
Experience of conducting due diligence, audits and drafting of agreements
Experience of working on joint ventures, M&A, private equity & due diligence
Experience of handling matters under I & B Code 2016
Experience of representing clients in negotiation meetings, etc.
Role Description
Execute range of transactions, including M&A, joint ventures, and corporate restructuring under I&B Code, 2016 involving transactions valued at INR 700 crores for listed companies. Conduct comprehensive corporate due diligence for prominent clients, including the largest companies and a market-leading organisation with a market capitalisation of INR 1 lakh crore. Provide expert counsel on critical commercial matters to distinguished clients with market cap of INR 2.86 trillion. Drafted and negotiated transactional agreements, including share purchase agreements, shareholders’ agreements, share-swap agreements, pre-incorporation agreement and binding term sheets. Vetted commercial agreements including supplier and distributorship agreement for clients with multiple jurisdictions. Drafted service provider agreements, software and IT-related agreements including master service agreement, statement of work, data protection agreement, SaaS agreements for India’s largest conversational messaging platform. Ensure Internal Compliance and Filing related to Companies’ Act and allied laws of big MNC groups. Drafting of Application for court proceedings at Honorable NCLT, NCLAT, High Courts and Honorable Supreme Court. Maintenance of statutory records of Companies ensuring regulatory compliance by organising board meetings, annual general meetings and extraordinary general meetings including statutory filings with Registrar of Companies & MCA.

CS Qualified
Prior working Experience in Law Firm.
