Description :

Position Summary:

The Company Secretary will be responsible for overseeing the company’s legal and compliance functions, including the drafting and closing of agreements and Trade Mark protection.

The ideal candidate should have a minimum of 7-10 years of experience out of which 4-5 years should be in corporate IT industry with  a proven track record in managing complex secretarial, Agreement drafting,  corporate governance and Trade Mark protection.

 

Key Responsibilities:

  1. Corporate Governance:
    • Ensure compliance with all corporate governance standards and regulatory requirements.
    • Manage and facilitate Board meetings, including preparing agendas, minutes, and resolutions.
    • Advise the Board and senior management on corporate governance issues and best practices.
  2. Agreement Drafting and Management:
    • Draft, review, and negotiate a wide range of agreements, NDA, Leave and Licence Agreement, TVCs  agreement including IT-related contracts, service agreements etc
    • Ensure all agreements comply with legal and regulatory standards and reflect the company’s interests and objectives.
    • Oversee the closing process of agreements, including the management of all documentation and compliance checks.
    • Replying to legal notices and notices received from Police, Labour offices etc.
  3. Compliance and Legal Affairs:
    • Monitor and ensure compliance with relevant laws, regulations, and industry standards.
    • Conduct periodic reviews and updates of company policies and procedures to maintain compliance.
  4. Record Keeping and Reporting:
    • Maintain accurate and up-to-date company records, including statutory books and registers.
    • Prepare and file necessary corporate documents with regulatory authorities.
    • Ensure timely reporting of corporate activities and compliance status to the Board and relevant stakeholders.
    • Maintenace of  MIS of internal task and timely updates.
  5. Risk Management:
    • Identify and assess legal risks related to business operations and provide strategic advice to mitigate those risks.
    • Develop and implement risk management strategies and compliance programs.

 

Qualifications:

  • Education: CS and LLB.
  • Skills:
    • Strong knowledge of corporate governance, compliance, and legal frameworks.
    • Proven ability to draft and negotiate complex agreements.
    • Familiarity with IT and technology-related business transactions.
    • Excellent organizational and communication skills.
    • Ability to work independently and manage multiple tasks effectively.
    • Familiar with Trade Mark protection.
