Position Summary:
The Company Secretary will be responsible for overseeing the company’s legal and compliance functions, including the drafting and closing of agreements and Trade Mark protection.
The ideal candidate should have a minimum of 7-10 years of experience out of which 4-5 years should be in corporate IT industry with a proven track record in managing complex secretarial, Agreement drafting, corporate governance and Trade Mark protection.
Key Responsibilities:
- Corporate Governance:
- Ensure compliance with all corporate governance standards and regulatory requirements.
- Manage and facilitate Board meetings, including preparing agendas, minutes, and resolutions.
- Advise the Board and senior management on corporate governance issues and best practices.
- Agreement Drafting and Management:
- Draft, review, and negotiate a wide range of agreements, NDA, Leave and Licence Agreement, TVCs agreement including IT-related contracts, service agreements etc
- Ensure all agreements comply with legal and regulatory standards and reflect the company’s interests and objectives.
- Oversee the closing process of agreements, including the management of all documentation and compliance checks.
- Replying to legal notices and notices received from Police, Labour offices etc.
- Compliance and Legal Affairs:
- Monitor and ensure compliance with relevant laws, regulations, and industry standards.
- Conduct periodic reviews and updates of company policies and procedures to maintain compliance.
- Record Keeping and Reporting:
- Maintain accurate and up-to-date company records, including statutory books and registers.
- Prepare and file necessary corporate documents with regulatory authorities.
- Ensure timely reporting of corporate activities and compliance status to the Board and relevant stakeholders.
- Maintenace of MIS of internal task and timely updates.
- Risk Management:
- Identify and assess legal risks related to business operations and provide strategic advice to mitigate those risks.
- Develop and implement risk management strategies and compliance programs.
Qualifications:
- Education: CS and LLB.
- Skills:
- Strong knowledge of corporate governance, compliance, and legal frameworks.
- Proven ability to draft and negotiate complex agreements.
- Familiarity with IT and technology-related business transactions.
- Excellent organizational and communication skills.
- Ability to work independently and manage multiple tasks effectively.
- Familiar with Trade Mark protection.
