Legal Counsel

Purpose of the Job

  • The successful candidate will primarily advise IBM (means IBM and all its affiliates in Asia Pacific) on a broad range of M&A transactions across the Asia Pacific, including corporate governance and compliance, due diligence, investments, joint venture and alliances, partnerships, spin-offs and demergers, and handling integration of acquired entities.
  • As the successful candidate develops their role, they may be expected to perform other roles within the country or other regional roles.
  • The successful candidate is expected to perform other legal services and support as the Senior Counsel – IBM Consulting, APAC directs/instructs.

Responsibilities

  • Preparing, reviewing, negotiating, and advising on all aspects of M&A transactions and their terms. This includes assisting relevant business lines with performing due diligence, drafting, preparation and responses to transaction terms, coordinating the closing across multiple jurisdictions, and integrating the resulting business.
  • Providing advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to IBM.
  • Working with various business lines and functions, including IBM’s regional legal, finance, human resources, regulatory and risk management teams, to provide solutions consistent with IBM’s corporate policies.
  • Ensuring documentation is maintained, and organizational memory is retained within the corporate business group.
  • Providing education on various matters.
  • Handing claims by and against the company and assisting with the preparation for litigation or arbitration proceedings, including the coordination of efforts by corporate staff and outside counsel. Develop ongoing and future strategies to avoid potentially damaging legal situations regarding M&A activities, which often involves working closely with internal management teams and IBM counsels representing other countries to ensure appropriate implementation.

Required Technical and Professional Expertise

  • Absolute commitment to business integrity and ethical conduct.
  • A degree in law and legal qualification in India.
  • Around 10 years of legal experience, preferably in a top-tier or leading international firm or with solid in-house counsel experience with a multi-national corporation or a combination with a strong understanding of corporate transactions.
  • Demonstrated ability to influence decision-making.
  • Demonstrated success in negotiating large and complex M&A transactions.
  • Ability to handle multiple matters concurrently.
  • Proficiency in written and spoken English.
  • Excellent drafting and negotiation skills.
  • Ability to give advice with an eye as to the commercials of a matter.
  • Able to work in an agile, dynamic, and fast-paced environment and to meet critical deadlines.
  • Able to work well both independently and as part of a team.
  • Able to communicate well and work in a cross-functional team to achieve common goals.
  • Able to identify and escalate issues timely and appropriately.
  • Strong analytical and communication skills.
  • Independent and self-motivated.
