Job Description
Seeking a highly skilled, confident, and experienced legal counsel to join our legal team as a commercial contracting lawyer, with strengths and experience in European and other privacy laws (e.g., GDPR). The ideal candidate should have 8 to 10 years of commercial contracting experience, preferably in the IT industry, with strong understanding and experience advising on privacy laws, data impact assessments, and general data and security issues. As the legal counsel, you will play a pivotal role in ensuring legal compliance, safeguarding our interests, and supporting our growth in the IT services industry.
Preferred Location: Bangalore/Pune
Responsibilities:
· Negotiate, draft, and analyze a wide variety of commercial contracts including master services agreements, statements of work, software license agreements, strategic alliance/partnership agreements, cloud hosting agreements, data protection agreements, GDPR amendments and NDAs.
· Collaborate with cross-functional teams to ensure that the contract terms align with the business goals and mitigate potential risks.
· Assist the company with strengthening its GDPR and global privacy compliance and awareness initiatives; provide legal advice and guidance on privacy matters, including data protection, information security and compliance with privacy laws and regulations.
· Review relevant privacy policies, privacy statements and related documentation and update as needed in response to changes in applicable law and/or business operations.
· Partner with information security team and DPO to investigate potential privacy incidents and coordinate incident response efforts.
· Conduct privacy impact assessment and coordinate response to data subject access requests.
· Stay informed about emerging privacy trends, regulations and enforcement actions, and proactively advise the organization on potential risks and opportunities.
· Negotiate and draft vendor contracts, including subcontractor agreements, agency worker contracts, etc.
· Provide legal advice to multiple business lines, including sales and delivery, marketing, Infosec and HR, on legal issues and risks, employment agreements, company policies and procedures etc.
· Assist the local HR teams with the management of various labor and employment matters, policies, and inquiries.
· Assist in continuously updating our contract playbooks and templates.
· Work with the Legal Operations team on assigned global legal services streamlining projects and assist in driving process improvements as necessary.
· Stay up to date with relevant legal developments and industry trends.
Requirements:
· Experience negotiating complex commercial transactions, including IT outsourcing services agreements, statements of work for IT and cloud services, alliance agreements (e.g., reseller agreement), SaaS agreements, software licensing agreements, and GDPR amendments.
· Strong commercial focus and an ability to influence key stakeholders.
· Strong knowledge and understanding of GDPR and other privacy laws.
· Proven experience in analyzing practical implications of privacy requirements and implementation of recommendations to achieve privacy-aligned outcomes.
· Professional certifications in privacy or data protection (e.g., CIPP(E)) would be an advantage.
· Strong attention to detail with excellent drafting skills.
· Ability to work independently with minimum supervision.
· A business-oriented, pragmatic mindset to balance legal risks with business strategy while delivering legal advise that is easy to understand.
· Prior experience in liaising with and effectively managing external counsels/law firms, whenever necessary.
· Flexibility and willingness to work on a broad variety of legal matters with a team-player attitude.
· Excellent written and oral communication skills to facilitate successful interaction with all levels of management and staff.
· Prior experience in UK/Europe based commercial contracts is preferred.
· Prior experience in CLM tools is a plus; experience with Microsoft Office Suite is mandatory.
Education & Experience:
· A bachelor’s degree in law from a recognized institution/university.
· Minimum 8 – 10 years’ PQE.
· Previous experience as an IT outsourcing lawyer is strongly preferred.
· Prior experience advising on privacy matters, preferably in an in-house legal role or a reputable firm.
