About the role:
We are looking for a qualified, semi-qualified company secretaries to be part of the corporate compliance team at our Bangalore Office.

The position demands confidence in managing and balancing the interests of the Firm and multiple stakeholders with excellent communication skills.

Responsibilities:
•     Ensuring compliance with Companies Act, 2013, FEMA and Master Directions and Banking Regulations Act. Handling compliances of board, committee and shareholder meetings as required under Companies Act, 2013.
•     Offer general advice, opinion on company law matters.
•     Ability to independently draft notice, agenda, minutes, attendance sheets proxy forms, general meetings, board resolution extracts.
•     Compile and maintain secretarial records, statutory registers, company law and reserve bank filings, supporting internal and statutory audit.
•     Maintain various trackers and generate reports and summaries.
•     Maintain statutory books, including registers of members, directors, and secretaries. Ensure compliance with Shareholders Agreement.
•     Ensure policies, regulatory, or statutory changes that might affect the clients are up to date and approved by the committee/Board.
•     Preparing and filing of necessary forms and returns before the regulatory authorities.
•     Maintenance of ROC and RBI files and records.
•     Incorporation of Companies/LLP/Partnership Firms.
•     Manage constitutional changes in client companies, allotment and transfer of shares, procedural requirements for creation and modification of charges, etc.
•     Implement processes or systems to ensure good management of client’s business.
•     Intimation to RBI about inward remittances and outward remittances and transfer of ownership and control of Companies, if any. Handling debt listed compliances, reporting to stock exchanges as required under SEBI LODR guidelines.
•     Circulation of Financial Statements, Director s report, Auditor s report, AGM Notice and Proxy Forms to Shareholders, Directors Auditors for conduct of AGM.
•     Handling procedural and compliance aspects of FDI, ODI, ECBs, FEMA, Mergers, Acquisitions, Due Diligence, Insolvency and other related aspects.
•     Liasoning with various regulatory authorities and external stakeholders.

Key Skills and Experience:
•      Semi-qualified, qualified CS with minimum 1 year of relevant experience.
•      Strong analytical and organizational skills.
•      Good communication and strong interpersonal skills.
