Roles Overview:

To strengthen our India Legal team, we are looking for an enthusiastic, experienced, self-

propelling Legal Counsel to cater to business needs as well as to other departments.

Requirements:

  • Excellent knowledge of all the corporate laws including Companies Act, RBI compliance, etc.
  • Honesty and integrity with the highest standard of ethics is essential.
  • Brings a proactive, team-oriented approach

Key-responsibilities:

Company Secretarial (10% of scope)

  • Support at Board Meetings, Annual General Meeting, Extraordinary General Meeting and
  • Corporate Social Responsibility (CSR) meetings.
  • Maintenance of statutory registers.
  • Filing of necessary forms with Registrar of Companies.
  • Act as a Company Secretary under Companies Act, 2013 if required to be appointed

mandatorily.

Corporate & Commercial (90% of scope)

  • Provide commercial and practical legal advice and support and advise on day-to-day commercial matters including issues arising with customers, vendors and other partners
  • Draft, review, and negotiate various commercial contracts and agreements keeping in mind the best interest of the company, internal requirements and local laws
  • Review, update and create precedent agreements and legal processes as need and appropriate
  • To advise and support dispute resolution processes
  • Provide training to the business on applicable legal and contractual issues.
  • Ensure company is functioning in compliance with applicable laws
  • Support and assist for handling of claims and/or internal investigations.
  • Researching and anticipating unique legal issues that could impact the Company in its operating area /sector and industry
  • Assistance and working on protecting Intellectual properties of the company
  • Ensure compliance with foreign exchange laws for transactions outside India such as with RBI
  • Ensure compliance with ESG and CSR policies (if applicable)
  • Engaging with stakeholders to implement, manage and ensure timely statutory compliances by the Company and its subsidiaries overseas
  • Ensure compliance with various contracts entered by the Company with investors/lenders
  • Assisting and supporting various internal stakeholder meetings, corporate governance issues, etc.
  • Analyze requirements in relation to setting up any company overseas as per business requirement

You bring:

  • Min. qualification – LLB+ CS
  • Min/ 3 years of relevant experience as in-house legal counsel and/or at a law firm handling company matters.
  • Knowledge of contracts with governing laws of UK/US is preferred
  • Strong proficiency in the English language.
  • Excellent knowledge of all the corporate laws including the Companies Act, RBI compliance
