Job Description

Title: Legal Specialist

Location: Mumbai, India

POSITION SUMMARY & KEY AREAS OF RESPONSIBILITY:

Perform all functions of a company secretary as per the provisions of the Companies Act, 2013 and the rules thereunder for the company and its affiliates (Company) and provide administrative support.

Broad Duties and Responsibilities:

i) CORPORATE GOVERNANCE AND SECRETARIAL SERVICES:

  • Responsible for the corporate secretarial compliances and filings of the Company.
  • Maintain the statutory registers and minute books, file, forms on behalf of the Company and act as the custodian of corporate records, statutory books, share certificates and registers.
  • Responsible for filing, signing, certifying, registering any document including forms, returns, letters and applications by and on behalf of the Company.
  • Liaise with regulators and auditors.
  • Arranging and coordinating the board/general meetings / EGM and follow-up actions thereof.
  • Handles the formation and incorporation of companies and matters related therewith.
  • Manages all tasks relating to shares, securities and their transfer and transmission.
  • Manages the secretarial/compliance audit signing of financial statements, annual returns where necessary and responsible for other declarations, attestations, and certifications to be provided as designated Company secretary and / or officer of the Company.
  • Advising on good governance practices and compliance of corporate governance norms as prescribed under various laws, regulations, and guidelines.
  • Assists in developing and implementing a corporate and social responsibility framework, corporate policies, committees etc.

ii) ADMINISTRATIVE SUPPORT

  • Provide administrative support to the Legal team.
  • Coordinate with members of the legal team, other departments, vendors, and external law firms.
  • Provide support from a legal operations perspective.
  • Organize team meetings and events.
  • Organize and maintain repositories of information and documents.
  • Maintain and update templates.

BASIC QUALIFICATIONS:

  • Qualified and member of the Institute of Company Secretaries of India.
  • At least 3- 5 years of experience as a Company Secretary in a multinational company.
  • Experience in administrative support.
  • Skilled in Excel, Word & PowerPoint.
  • Excellent in written and verbal communication skills.
  • Team player who works collaboratively within the NCR Voyix Law Department and other departments at NCR Voyix
  • Attention to detail.
  • Ability to work under deadlines with minimal advance notice and minimal supervision.
  • Self-sufficient and independent.
  • Fluent in English.
